KindlyFundMe.com is a platform of Kindly Tech LTD, registered in the UK.

1. Introduction

Welcome to KindlyFundMe.com, the official online crowdfunding platform operated by Kindly Tech LTD, a company incorporated and registered in England and Wales with its company number 16459346 and registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom.

These Terms of Use ("Terms") constitute a legally binding agreement between you ("you", "your", "user", "project owner", "supporter", "donor", or "backer") and Kindly Tech LTD ("we", "us", "our", "KindlyFundMe"). By accessing, browsing, creating a campaign, donating, or otherwise using KindlyFundMe.com (the "Platform" or the "Website"), you acknowledge that you have read, understood, and agreed to be bound by these Terms in their entirety.

If you are accessing or using the Platform on behalf of an organisation, charity, company, institution, or other legal entity, you confirm that you are authorised to accept these Terms on behalf of that entity. In such circumstances, the words "you" and "your" shall also apply to and bind that organisation.

If you do not agree to these Terms, you must immediately discontinue use of KindlyFundMe.com. Continued use of the Platform constitutes ongoing acceptance of these Terms as they may be amended or updated from time to time.

1.1 Purpose of the Platform

KindlyFundMe.com provides a digital crowdfunding service that enables individuals, groups, charities, and organisations to raise funds for projects, causes, or initiatives. The Platform allows project owners to create and publish campaigns, and allows supporters to pledge financial contributions towards those campaigns.

We are committed to creating a safe, transparent, and accessible environment where fundraising can flourish. However, Kindly Tech LTD does not itself guarantee the success of any campaign, nor do we promise that donations will be used for the purposes described by project owners. Our role is to provide the infrastructure that facilitates connections between project owners and supporters.

1.2 Our Commitment to Transparency

We strive to provide a fair and trustworthy service. To support this, we maintain and update key documents and resources that supplement these Terms, including but not limited to:

  • Community Guidelines – These set out the rules of conduct for all users, outlining what is and is not permitted on the Platform. They cover matters such as prohibited activities, restricted content, fraud prevention, and respect for intellectual property. (If you do not yet have a dedicated Guidelines page, we recommend creating one. Until then, you may rely on the conduct obligations within these Terms.)
  • Help Centre & Knowledge Base – Our Help Centre provides practical resources to assist project owners and supporters. Topics may include: how to start a campaign, tips for attracting donors, payment processing information, security advice, and troubleshooting. (If this page is not yet live, we recommend adding one so that users can access practical support outside of these Terms.)

By engaging with the Platform, you agree to familiarise yourself with these resources and to comply with all requirements and restrictions outlined within them.

1.3 Agreement & Acceptance

By using KindlyFundMe.com, you expressly agree that:

  1. You have read, understood, and accepted these Terms of Use.
  2. You are at least 18 years of age (or the age of legal majority in your country of residence).
  3. You have the legal capacity and authority to enter into binding agreements.
  4. If you are using the Platform on behalf of an organisation, you are duly authorised to act on its behalf.
  5. You will comply with all applicable laws, regulations, and guidance in connection with your use of the Platform.

1.4 Updates to These Terms

Kindly Tech LTD reserves the right to update, modify, or replace these Terms at any time. We may do so for reasons including (but not limited to): legal compliance, regulatory changes, security updates, enhancements to our services, or to reflect evolving business practices.

  • Changes will become effective once published on KindlyFundMe.com.
  • We will make reasonable efforts to notify users of significant updates, for example by email, on-site notifications, or announcements.
  • Your continued use of the Platform after changes are made constitutes acceptance of the revised Terms.

We encourage all users to review these Terms regularly to remain informed of their rights and obligations.

1.5 Entire Agreement

These Terms, together with our Privacy Policy, Fee Policy, and Community Guidelines, represent the entire agreement between you and Kindly Tech LTD regarding your use of the Platform. They supersede any prior agreements, understandings, or arrangements, whether written or oral, relating to the subject matter herein.

2. Definitions

For ease of reference and to avoid ambiguity, we use the following key definitions throughout these Terms of Use. Unless the context requires otherwise, capitalised terms shall have the meanings set out below:

"Account"
The personal or organisational registration profile created by a User to access and use the Platform.
"Business Day"
A day other than Saturday, Sunday, or an official public holiday in England and Wales, when banks are open for business.
"Campaign"
A fundraising initiative, appeal, or project page created by a Project Owner through KindlyFundMe.com, with the purpose of raising funds from Supporters.
"Campaign Page" / "Project Page"
The dedicated webpage hosted on the Platform that displays details about a Project or Campaign, including its description, Funding Target, Project Goal and duration.
"Charity Profile"
The landing page of a registered charity on the Platform, through which Supporters can make Pledges, and Project Owners can establish fundraising Campaigns in the name of the charity.
"Community Share"
A withdrawable, non-transferable equity contribution into a cooperative or community benefit society, where permitted under applicable UK law.
"Donation"
A voluntary financial contribution made by a Supporter to a Project Owner's Campaign, which does not entitle the donor to any equity, ownership, or financial return.
"Extra Funding"
Any additional financial support or grants provided to a Campaign from KindlyFundMe's partners, sponsors, or third-party organisations.
"Fees" / "Service Fees"
The charges, commissions, or deductions applied by Kindly Tech LTD in connection with the processing of Pledges, Donations, or Campaign services, as set out on our Price & Fees Page.
"Funding Target"
The minimum amount of money that a Project Owner seeks to raise for their Campaign through the Platform.
"Fundraising Period"
The period of time during which a Campaign is live on the Platform and Supporters may make Pledges, Donations, or contributions.
"Guidelines"
The Community Guidelines published by Kindly Tech LTD, which set out behavioural standards, prohibited content, and rules for participation on the Platform. (Where no separate page exists, these rules are incorporated directly into these Terms.)
"Privacy Policy"
The privacy and data protection notice published by Kindly Tech LTD, available at Privacy Policy page, which explains how we collect, store, and use personal information.
"Project"
A fundraising effort launched by a Project Owner through the Platform with the intent of raising funds for a specific cause, initiative, product, service, or charitable purpose.
"Project Administrator"
An individual appointed by the Project Owner to help manage and oversee a Campaign on their behalf.
"Project Goal"
The intended outcomes, impact, or purpose of a Campaign as described on its Project Page.
"Project Owner"
An individual, group, charity, organisation, or other legal entity that registers with KindlyFundMe.com and creates a Campaign for the purpose of raising funds from Supporters.
"Supporter" / "Backer" / "Donor"
A User who contributes to a Campaign by:
  • making a Pledge as a Donation and/or
  • offering their time, expertise, or skills as a form of non-financial support ("Volunteering").
"Terms" / "Terms of Use"
This document, as amended or updated from time to time, which governs the relationship between Kindly Tech LTD and all Users of the Platform.
"User"
Any individual, organisation, or entity who accesses or uses KindlyFundMe.com in any capacity, including but not limited to Project Owners, Project Administrators, and Supporters.
"Volunteering"
The act of contributing time, knowledge, or resources without monetary compensation, to assist a Campaign or Project Owner.
"Website" / "Platform"
The website located at www.KindlyFundMe.com and any subdomains, applications, features, content, or services operated by Kindly Tech LTD.

3. Our Services

KindlyFundMe.com provides an online crowdfunding platform where Users can create, manage, and support fundraising Projects. Through our services, Project Owners can raise funds in several different ways, including:

  • Donations – Supporters can make voluntary financial contributions to a Project without receiving anything in return.
  • Community Shares – Where permitted, Supporters may invest in withdrawable and non-transferable equity shares issued by a cooperative or community benefit society.
  • Volunteering – Supporters may also choose to contribute their time, expertise, or skills to help a Project achieve its goals.

Projects may only be created for lawful purposes and must fall within the categories of fundraising described above. We do not permit Projects to be set up for any other reason.

Important Notes About Our Role

Not an investment platform

Kindly Tech LTD does not offer regulated investment opportunities. We are not authorised or regulated by the Financial Conduct Authority (FCA). This means that, as with all donations or Community Shares:

  • You do not have recourse to the Financial Ombudsman Service; and
  • You are not covered by the Financial Services Compensation Scheme.
Independent agreements

We do not take part in or oversee any agreement or contract made between Users. Any arrangements you make with another User – including Projects, Pledges or Community Shares – are entirely between you and that User. We cannot and do not guarantee that any User or Project Owner will fulfil their commitments.

Project information

We require Project Owners to provide accurate information about themselves and their Projects. However, we do not independently verify or endorse these details, and we make no guarantees as to their truthfulness, quality, performance, or outcome. Project Owners remain solely responsible for their Projects.

No financial or tax advice

Kindly Tech LTD does not provide financial, legal, or tax advice. Any information you read on KindlyFundMe.com, including within these Terms, should not be relied upon to determine the financial, tax, or accounting treatment of your Pledges or funds raised. We recommend that you seek independent professional advice where needed.

4. Accessing KindlyFundMe

To use certain features of KindlyFundMe.com, such as creating and managing a Project, you must first create an account with us. By registering, you confirm that you meet the eligibility requirements below:

  • Age requirement: You must be at least 18 years old, or the legal age of adulthood in your country of residence, to use our platform. This applies to both Project Owners and Supporters.
  • Legal capacity: You must be legally permitted to enter into agreements and interact with other Users under the laws of your jurisdiction.
  • Bank account requirement: Project Owners must have a valid UK bank account in their name (or in the name of their registered organisation) in order to receive funds raised through the platform.
  • Payment requirement: Supporters must have a valid payment method that we accept in order to make a Pledge.

If you have previously been suspended or banned from KindlyFundMe.com, you may not use the platform again without prior written permission from Kindly Tech LTD.

Account Registration

When creating an account, you must provide accurate, complete, and up-to-date information. If any of your details change, you are responsible for updating them promptly. Accounts created with false, misleading, or incomplete information may be suspended or terminated without notice.

Account Security

You are solely responsible for maintaining the confidentiality of your login details (such as your email address and password). Do not share your account credentials with anyone else. All activity conducted through your account will be considered your responsibility, whether or not you authorised it.

If you believe someone else has gained access to your account, you must change your password immediately and notify us at support@KindlyFundMe.com.

Inactive Accounts

We reserve the right to close or delete accounts that remain inactive for a prolonged period. Details about data retention and account deletion can be found in our Privacy Policy.

Privacy

Your privacy is very important to us. Please review our Privacy Policy to understand how we collect, store, and process your personal data.

Verification

We may carry out checks to verify your identity, whether you are a Supporter or a Project Owner. For Project Owners (or Project Administrators), we may also verify:

  • Your connection to the Project;
  • Your association with an organisation (where applicable); and
  • The accuracy of the Project details.

This process helps us prevent fraud, reduce illegal activity, and protect all Users. If we request additional information or documentation from you, you must provide it promptly.

Important Note

If we are unable to verify your identity, your Project details, or your connection to a Project, we may:

  • Cancel any Pledge,
  • Remove your Project, and/or
  • Suspend or terminate your account,

without prior notice. Such actions are taken for the safety and security of the platform, and Kindly Tech LTD will not be liable for any consequences of these measures.

5. Prohibited Projects and User Content

To maintain a safe, lawful, and trustworthy environment for all Users, Kindly Tech LTD imposes strict rules on the types of Projects and User Content (including comments, updates, images, videos, and messages) that may appear on the platform. We reserve the right, at our sole and absolute discretion, to reject, suspend, or permanently remove any Project or User Content that breaches these rules. This applies not only to Projects and Pledges but also to promotional activities, and communications with other Users.

Important Notice

Projects or User Content will not be permitted if they include, promote, or are connected to any of the following:

  1. Illegal, Unlawful or Prohibited Activities
    • Any Project that promotes or facilitates criminal conduct, fraud, terrorism, money laundering, bribery, corruption, or other unlawful behaviour under UK law or international sanctions regimes.
    • Content that facilitates the purchase, distribution, or advertisement of goods or services that are illegal to sell, supply, or use in the United Kingdom.
    • Attempts to circumvent applicable sanctions, embargoes, or restrictions imposed by the UK government, the European Union, the United States, or the United Nations.
  2. False, Misleading or Inaccurate Content
    • Projects that misrepresent their purpose, achievements, or affiliations in order to obtain funds or mislead Supporters.
    • Claims or promises that are inaccurate, unverifiable, outdated, or impossible to deliver.
    • Use of manipulated imagery, fabricated testimonials, or misrepresentation of qualifications or charitable status.
  3. Harmful or Offensive Content
    • Projects or content that encourages, glorifies, or threatens violence, abuse, self-harm, suicide, bullying, or harassment.
    • Any form of hate speech directed at individuals or groups based on race, ethnicity, nationality, religion, gender, sexual orientation, disability, or other protected characteristics.
    • Content that demeans or threatens the anonymity, dignity, or safety of victims, survivors of abuse, vulnerable adults, or children.
  4. Infringement of Rights
    • Material that violates copyright, trademark, moral rights, privacy rights, or any other proprietary rights of third parties.
    • Use of protected intellectual property (such as logos, characters, software, or designs) without documented permission or license.
  5. Restricted Products and Services

    Projects cannot promote, sell, or distribute:

    • Financial products including securities, loans, loan repayments, profit shares, equity stakes, cryptocurrency or virtual currencies, investment contracts, or derivatives, except for Community Shares specifically approved through our Community Share framework.
    • Adult content, including pornography, obscene material, sexually explicit imagery, or services of a sexual nature.
    • Restricted substances such as tobacco, e-cigarettes, vapes, nicotine products, pharmaceuticals, unlicensed health supplements, illegal drugs, or drug paraphernalia.
    • Weapons and dangerous items, including firearms, ammunition, knives, explosives, weapon accessories, and replicas designed to resemble weapons.
    • Unsafe goods, including manufactured items or consumer products that do not comply with UK health, safety, or labelling standards.
    • Illegal services, including counterfeit goods, hacking tools, spyware, or materials that encourage unlawful conduct.
  6. Gambling and Lotteries
    • Gambling products, betting services, sweepstakes, or unlicensed lotteries are not permitted.
  7. Payment and Processor Restrictions
    • Any activity or Project that breaches the rules of our payment processor third party company, including their restricted or prohibited business categories.
    • Campaigns originating from or directed towards jurisdictions unsupported by payment processor partner or prohibited under UK law.
  8. Other Unacceptable Conduct
    • Content that undermines the safety, integrity, or enjoyment of the platform for other Users.
    • Projects that are designed primarily to attack or disparage other individuals, businesses, or organisations.
    • Any behaviour that, in our reasonable judgment, risks exposing us, our Users, or our partners to reputational harm, financial liability, or regulatory investigation.

Enforcement

We reserve the right to:

  • Review, edit, or remove any Project or User Content that violates these rules, without obligation to provide notice or justification.
  • Suspend or terminate accounts of Users who repeatedly or severely breach these terms.
  • Report any suspected illegal activity to law enforcement, regulators, or relevant third parties, including providing identifying User information where required by law.
  • Withhold or reverse payments connected to prohibited Projects.
Note

These prohibitions are not exhaustive. Kindly Tech LTD may determine, at its discretion, that other Projects or User Content are unacceptable even if not specifically listed above. By using our platform, you agree not to attempt to create or share content that we would reasonably consider harmful, unlawful, misleading, or otherwise inappropriate.

6. Payment Handling and Fees

Use of Regulated Payment Processors

We do not directly process payments, hold funds on behalf of Users, or have access to your full payment card or bank account information. All financial transactions made through the platform are processed by regulated third-party payment processors. These providers are responsible for securely processing pledges, handling settlements, and transferring collected funds to Project Owners once the applicable funding cycle is complete.

Important Information

By using the platform, you acknowledge and accept that:

  • Payment processing is outside our direct control. Any issues relating to payments, transfers, refunds, or settlement timescales may need to be resolved directly with the relevant payment processor.
  • Project Owners must agree to and comply with third-party payment processors's Connect Account Agreement and Services Agreement. These agreements form part of our Terms, and you must review and accept them before launching a Project or receiving funds.
  • Bank account requirements: Project Owners must provide details of a valid UK bank account in their own name or the name of their registered organisation. By supplying these details, you confirm that you have the legal right and authorisation to operate the nominated account and receive funds into it.
  • Information accuracy: You must ensure that all information provided to the third-party payment processors (including identity verification details, business information, and banking information) is true, complete, and accurate. Any failure to do so may delay or prevent the transfer of funds.
  • Our liability: We are not responsible for the actions, omissions, or errors of third-party payment processors or any other payment provider. By using our platform, you agree that any claims, disputes, or liabilities arising in connection with payment processing are matters between you and the relevant third-party provider.

By setting up a Project or making a Pledge, you consent to the third-party payment processors's processing your personal and financial data. Any personal information you provide directly to the third-party payment processors as a Project Owner or Supporter will be handled under their/our Privacy Policies. Please also see our Privacy Policy, which explains how we share information with third-party providers and the purposes for which it may be processed.

Fees

Creating and publishing a Project on our platform is free of charge. However, we do apply platform fees and transaction fees to successful Pledges made to Projects. These fees cover the costs of running, maintaining, and improving our services, as well as the fees charged by third-party payment processors.

  • Platform Fees: These are a percentage of the funds raised and are deducted before payout. They may vary depending on the type of Project or fundraising model used.
  • Transaction Fees: In addition to platform fees, third-party payment processors may deduct card processing charges. These charges apply on each individual pledge transaction.
  • Transparency: Full details of our current fee structure are published on our Price & Fees Page, which forms part of these Terms. Project Owners are responsible for reviewing this page prior to launching a Project. By launching a Project, you accept that these fees will apply.
  • Deductions: All applicable fees are automatically deducted before funds are transferred to the Project Owner's nominated bank account. Project Owners should therefore calculate their fundraising targets to account for these deductions.

Chargebacks and Disputes

A chargeback occurs when a Supporter disputes a payment directly with their bank or card issuer after making a pledge. Chargebacks can arise for various reasons, such as suspected fraud, unauthorised use of a card, or dissatisfaction with a Project.

Important Notice
  • We reserve the right to pass on the full cost of any chargeback, as well as any fees levied by our payment processor, to the relevant Project Owner.
  • If a chargeback occurs after funds have already been paid out, we may deduct the amount from future payouts or seek reimbursement directly from the Project Owner.
  • Project Owners are solely responsible for handling any disputes with their Supporters regarding fulfilment of Projects or other contractual obligations.

Delays and Withholding of Funds

In certain cases, we or our payment processor may delay, withhold, or cancel the transfer of funds if:

  • Identity or bank account verification is incomplete.
  • There are reasonable concerns about fraud, money laundering, or other unlawful activity.
  • A dispute, complaint, or chargeback has been raised that could materially affect the Project.
  • The Project Owner is in breach of these Terms or the payment processor's terms.
Note

We will always seek to notify you if funds are delayed or withheld, but we cannot be held liable for any losses, damages, or delays arising from such actions.

7. Running a Project

Setting Up Your Project

When you create a Project on KindlyFundMe.com, you are responsible for providing accurate, complete, and up-to-date information about your Project, your fundraising goal, and how the funds will be used. Your Project page is the primary way Supporters will decide whether to pledge, so the information must be clear, truthful, and not misleading.

Raising Funds Elsewhere

You may raise funds for your Project outside of KindlyFundMe (for example, through your own website or events). However, you must not use your KindlyFundMe Project to:

  • Redirect Supporters to external platforms for payment.
  • Publish or promote alternative payment methods, such as personal bank account details, PayPal links, or crypto wallets.
  • Encourage Supporters to pledge outside the platform to avoid our fees.
Important Notice

These actions undermine the safety and transparency of crowdfunding and are strictly prohibited. If discovered, we reserve the right to suspend or remove your Project without notice.

Funding Methods

When setting up a Project, you may be offered one or more funding models:

  • All or Nothing – You only receive funds if you reach your Fundraising Target before the deadline. If the target is not met, Supporters are refunded in full.
  • Keep What You Raise – You receive all funds pledged, even if you do not reach your Fundraising Target.
  • Always On – Your Project stays live beyond the initial fundraising period, allowing continuous fundraising for long-term initiatives.
Note

The availability of these methods may depend on the type of Project, regulatory requirements, and your compliance history. Kindly Tech LTD reserves the right to refuse or withdraw a funding option at any time.

Funding Period

Each Project has a defined Fundraising Period with minimum and maximum durations. If you opt into Always On, your Project remains active after the initial deadline, but if you do not choose this, your Project will close automatically. Extensions may be considered but are not guaranteed and must be requested in advance.

Charitable Projects

If your Project is charitable, benevolent, or philanthropic, you must follow the Fundraising Regulator's Code of Fundraising Practice (UK) and any relevant charity laws. You are responsible for ensuring your Project does not mislead Supporters about its charitable status or how funds will be used.

+Extra Funding

Some Projects may qualify for +Extra Funding from external partners. However:

  • Eligibility does not guarantee approval.
  • Decisions are made solely by the funding partner.
  • The partner may impose additional rules, eligibility checks, or impact reporting requirements.
  • Delays in +Extra Funding payments are outside our control.
  • +Extra Funding has its own separate fee structure, which may differ from KindlyFundMe's standard fees.

Once Your Project is Running

Project Administration

If you appoint Project Administrators, you remain fully responsible for all actions they take. You are accountable for their compliance with these Terms, our policies, and applicable law.

Changes to Your Project

After launch:

  • You may update your Fundraising Period only if no pledges have been made.
  • You cannot change the funding type, Fundraising Target, Project Goal, or bank account once the Project is live.
  • Misleading or frequent changes that confuse Supporters may result in suspension of your Project.

Sharing Supporter Data

You may receive access to Supporter details (such as name, email, pledge amount). When you receive this data, you become a data controller under data protection law. This means:

  • You must store and use data lawfully, securely, and fairly.
  • You cannot use Supporter data for marketing unless explicit permission has been given.
  • You are responsible for handling subject access requests and ensuring compliance with UK GDPR and Data Protection Act 2018.

Messaging Supporters

We provide communication tools that allow you to message your Supporters. When using this feature:

  • Kindly Tech LTD acts as a data processor, and our Data Processing Addendum applies.
  • You must comply with our User Conduct rules (see Section 12).
  • Communications must be relevant to your Project and not used for unrelated marketing.

Receiving Your Money

We will make reasonable efforts to release cleared funds promptly, but delays may occur due to fraud checks, compliance reviews, or third-party payment provider issues.

Clearing Periods

All Pledges go through a standard clearing period (usually 7 days) before being available for payout. This period may be extended if suspicious activity is detected.

Managing Payouts

Your Project dashboard may offer options such as:

  • Triggering early payouts of cleared funds.
  • Scheduling payouts at set intervals.
  • Requesting one final lump sum payout after the Project closes.

Not all options are guaranteed and may vary based on your Project type, compliance history, or banking setup.

Paused or Failed Payouts

  • Payouts cannot be paused indefinitely. Normally, funds will be sent within 30 days of your fundraising ending.
  • If payment fails (for example, due to invalid bank details), we may refund Supporters instead.
  • Kindly Tech LTD is not responsible for losses caused by delayed or failed payouts.

+Extra Funding Payouts

If your Project qualifies and passes all checks, +Extra Funding will usually be paid within 14 days after the Fundraising Period. However, this is subject to the partner's own terms, and Kindly Tech LTD accepts no liability for delays or cancellations.

Other Project Owner Obligations

As a Project Owner, you agree to:

  • Use funds responsibly – Only for the purpose and goals stated on your Project page.
  • Post updates – Keep Supporters informed about progress, milestones, and how funds are used. We may require updates where transparency is necessary.
  • Communicate promptly – Respond to questions or requests from us and Supporters in a timely, professional, and respectful manner.
  • Resolve issues fairly – Work with Supporters to address complaints or refund requests. Failure to do so may affect your eligibility for future projects.
  • Comply with law – Follow all relevant laws, including tax, charity, gambling, and consumer protection rules.
  • Manage taxes – Determine and pay all applicable taxes. This includes VAT and income tax
  • Avoid reliance on unconfirmed funds – Do not commit to expenses or obligations until funds have cleared and are in your bank account.
  • Cooperate with us – Provide information we reasonably request, particularly for audits, compliance checks, or regulatory enquiries.
Important Notice

Failure to comply with these obligations may result in suspension of your Project, withholding of funds, or removal from the platform.

8. Supporting a Project

There are multiple ways you can support Projects on KindlyFundMe. Each method of support carries its own rules, responsibilities, and potential implications, so please read this section carefully before proceeding.

Ways to Support Projects

8.1. Financial Pledges

  • You may make a financial contribution to a Project either as:
    • A donation with no expectation of return (minimum contribution £1), or
  • Payments can be made using a debit card, credit card, or any other secure payment method we may provide from time to time. We currently use third party payment processor. By pledging, you agree to their's applicable terms and policies.

8.2. Volunteering

  • In addition to financial support, you may choose to offer your time, expertise, or professional skills to a Project.
  • Volunteering can be arranged in one of two ways:
    • By responding directly to a volunteering opportunity listed on the platform, or
    • By reaching out to the Project Owner using our internal messaging system.
Important Notice

KindlyFundMe is not a party to any agreement between you and the Project Owner regarding volunteering. Any commitments you make are strictly between you and the Project Owner, and we are not responsible for the performance, quality, or outcome of volunteer arrangements.

Note

Making a financial pledge or volunteering your services does not provide you with any ownership rights, voting rights, management authority, or control over the Project or the Project Owner.

Responsibilities of Supporters

  • You must ensure that any funds you contribute are from legitimate and lawful sources. We reserve the right to investigate and, if necessary, decline or reverse transactions that may involve money laundering, fraud, or other unlawful activity.
  • You must comply with all relevant laws and regulations when pledging funds or volunteering for a Project.
  • If you are under the age of 18, you may only pledge funds or volunteer with the consent and supervision of a parent or legal guardian.

Regular and Recurring Donations

  • You may choose to set up a regular donation to a Project. By doing so, you authorize us (via our payment processor) to charge your selected payment method on a recurring basis, at the frequency and amount you have chosen.
  • These recurring payments will continue until:
    1. You cancel the regular donation, or
    2. The Project ends or is removed from the platform, whichever occurs first.
  • You can cancel your recurring donation at any time through your user account dashboard. However, any donation already processed before the time of cancellation is non-refundable.

Acknowledgement of Risk

  • By pledging to or volunteering for a Project, you acknowledge that there are inherent risks. Projects may not always proceed as planned, outcomes are not guaranteed.
  • KindlyFundMe does not verify every statement made by Project Owners and cannot guarantee the accuracy, reliability, or eventual success of any Project you support.
Important Notice

Your contribution—whether financial or voluntary—is made at your own discretion and risk.

9. Other Important Terms Relating to Projects and Pledges

Gift Aid

For Project Owners:
  • KindlyFundMe facilitates eligible organisations to claim Gift Aid by collecting the required information from Supporters during the pledge process.
  • You, as a Project Owner, are responsible for ensuring that both your organisation and each Pledge meet HMRC's Gift Aid eligibility criteria.
  • It is therefore critical to check HMRC guidelines and confirm that all Gift Aid claims are valid.
  • Project Owners must maintain proper records for any Gift Aid claims and may be asked to provide documentation in case of HMRC queries or audits.
For Supporters:
  • When making a Pledge to an organisation claiming Gift Aid, you will be asked to confirm that you are a UK taxpayer and that you meet all requirements of the Gift Aid scheme.
  • Your declaration must be accurate. False or incorrect Gift Aid declarations may impact your personal tax liability.
  • You are responsible for ensuring that your income tax and/or capital gains tax liability for each tax year is sufficient to cover the amount the charity will reclaim.
  • If in doubt, please consult a qualified tax professional before pledging to avoid any unintended tax consequences.
  • KindlyFundMe is not liable for any misstatements or errors made by Supporters when completing Gift Aid declarations.

cancellation and Refunds

Cancellation by Kindly Tech LTD:

  • We reserve the right to cancel Pledges without prior notice. This may occur in cases of suspected fraud, non-compliance, payment processing issues, or other exceptional circumstances.

Cancellation by Project Owners or Supporters:

  • Supporters may cancel a Pledge via their account before funds are transferred to the Project Owner. Typically, this means refunds are only possible within 7 days of the original Pledge.
  • After this 7-day period, responsibility for issuing refunds rests solely with the Project Owner.
  • Kindly Tech LTD does not accept liability for a Project Owner's failure to issue refunds after this period.

Refunding Tips:

  • If you have added a tip to KindlyFundMe when making a Pledge, and the Pledge is subsequently cancelled, the tip will also be refunded in full.
  • If all Pledges to a Project are refunded, tips made to KindlyFundMe will not be refunded.
  • Refunds will generally be processed to the same payment method used for the original Pledge, subject to banking or payment processor timelines.

Legal Rights:

  • Nothing in this section affects your statutory or legal rights under UK law. For guidance on these rights, you may consult your local Citizens' Advice Bureau or Trading Standards Office.

Legal Relationship Between a Project Owner and Supporter

It is important to understand the different legal relationships that arise when running a Project or making a Pledge.

  • Donations:
    • Voluntary contributions made as donations are gifts.
    • Supporters do not receive any consideration or entitlement in return.
    • Project Owners are under no obligation to refund or compensate Supporters for donations.
  • +Extra Funding:
    • If a Project Owner receives +Extra Funding, a separate contractual relationship arises between the Project Owner and the funding partner.
    • The Project Owner agrees to comply with the partner's terms, and failure to do so may result in recovery of funds or disqualification from future +Extra Funding.

Publicly Visible Information

For Project Owners:

  • Your profile name, biography, and all content posted on your Project page will be publicly visible.
  • This includes updates, posts, photos, and information.
  • You are responsible for ensuring that all publicly displayed information is accurate, lawful, and does not infringe the rights of any third party.

For Supporters:

  • When making a Pledge, your username will appear on the Project page unless you select the "Do not display my name" option.
  • Even if you choose not to display your name publicly:
    • We will still share your contact information with the Project Owner to facilitate communication regarding your Pledge.
    • If you leave a comment alongside your Pledge, your username will be displayed publicly; anonymous comments are not permitted.
  • All public information is subject to our Privacy Policy , which explains how your personal data may be collected, stored, shared, and processed.

Additional Notes and Responsibilities

  • Supporters and Project Owners are responsible for reading and understanding the terms of their legal relationship.
  • Any disputes arising from donations or +Extra Funding must be resolved between the parties involved.
  • Kindly Tech LTD is not a party to these agreements and cannot be held liable for disputes between Supporters and Project Owners.
  • Both Supporters and Project Owners should maintain clear records of pledges, communications, and any contractual obligations for legal and accounting purposes.

10. Community Shares Projects – Additional Terms

This section outlines the additional rules and obligations that apply specifically to Projects that involve Community Shares. These terms are supplemental to the general Project Terms set out above, including those relating to fees, responsibilities, and User conduct. In the event of any conflict between this section and the general Terms, the provisions of this section will take precedence for Community Share Projects.

Kindly Tech LTD's Role

  • Kindly Tech LTD provides an online platform that connects prospective investors with Co-operative Societies and Community Benefit Societies seeking funding through Community Shares.
  • Our platform acts as a facilitator only. We provide the tools for Societies to list their Projects, display investment opportunities, and manage communication with potential investors.
  • We do not manage the Society's operations, determine how investment funds are allocated, calculate or pay returns, or oversee the process of withdrawing shares.
  • Beyond providing the platform and facilitating agreements between Users, we are not responsible for any arrangements, contracts, or commitments between Project Owners and Supporters.
Important Notice

Kindly Tech LTD does not guarantee the Society's performance, financial stability, investment returns, or the ultimate value of Community Shares. All investment decisions are made at the investor's own risk.

Setting Up a Community Share Project

Eligibility Requirements:

  • Only UK-registered Co-operative Societies or Community Benefit Societies, including Charitable Community Benefit Societies ("Society"), may create Projects for Community Share investments.
  • Only authorised individuals from the Society can set up a Project. Any Project submitted by an unauthorised person, or one suspected to be unauthorised, may be rejected or removed.

Investment Terms and Guidance:

  • Project Owners must comply with the Community Shares Handbook and any other guidance relevant to Community Share Projects. This includes correctly specifying the terms, conditions, and rights associated with the investment.
  • Before offering Community Shares, a Society must be registered with the Financial Conduct Authority (FCA), or provide evidence that registration is pending.
  • If registration is pending, the Project page must clearly state that investment funds will not be drawn down until registration is complete.
  • Any other permissions, licences, or consents necessary to operate the Society or use the invested funds must be obtained before launching the Project, or the Project documentation must clearly describe the process for securing them post-investment.

Project Setup Obligations:

  • Societies must provide full, accurate, and up-to-date information about the Project, including:
    • Investment terms and conditions
    • Minimum and maximum investment amounts
    • Potential risks associated with the investment
    • Any restrictions on withdrawing shares or receiving returns
  • Project Owners are responsible for keeping this information accurate and transparent throughout the Fundraising Period.

Investing in a Community Share Project

Access to Information:

  • Supporters considering investment can view all relevant information about a Community Share offer on the Project page.
  • This includes the Project rules, terms of investment, governance documents, and details on how invested funds will be used.

Investment Risks:

Supporters must understand that investing in Community Shares carries risks, including but not limited to:

  1. No FSCS protection: Community Share investments are not covered by the Financial Services Compensation Scheme (FSCS). If the Society becomes insolvent or otherwise fails, investors will not be compensated.
  2. Capital at risk: Investments are not guaranteed. You may lose some or all of your invested capital, depending on the Society's performance.
  3. Returns are uncertain: Any potential financial return is dependent on the success and performance of the Society and may fluctuate. Past performance of any similar investment does not guarantee future outcomes.
  4. Project-specific risks: Each Project may have additional unique risks which must be fully disclosed in the offer documents. Investors should carefully review these before committing.

  • It is essential that all prospective investors read the offer documents in full before making an investment. These documents contain critical information about risks, rights, obligations, and processes for investing.

By investing in a Community Share Project, you acknowledge that:

  • Any decisions to invest, withdraw, or otherwise act in relation to a Community Share Project are made at your own discretion and risk.

Kindly Tech LTD disclaims all liability for the financial performance of any Society or the success of any Community Share Project.

11. Additional Terms That Apply to All Users

Dealing with Concerns

Reporting Concerns:

At Kindly Tech LTD, we are committed to maintaining a safe, secure, and trustworthy platform. We take reports of illegal, harmful, threatening, or otherwise inappropriate content very seriously. We actively monitor the platform using a combination of automated tools, AI monitoring, and human review, and we act swiftly to remove content or take action against Users who violate these Terms or the law.

If you come across any Project, message, comment, or other content that you believe is illegal, abusive, harmful, misleading, infringes your rights, or violates these Terms in any way, you must report it immediately. You can do this by:

  • Clicking the "Report this Project" button on the relevant Project page.
  • Contacting our support team directly through the support email or contact form.

We will review all reports carefully and take appropriate actions, which may include investigation, removal of content, temporary suspension of the User, or other measures we deem necessary to maintain platform integrity.

Handling Inappropriate Content and Behaviour:

Kindly Tech LTD has a zero-tolerance policy for abusive, threatening, illegal, or disruptive behaviour. Examples of prohibited conduct include harassment, impersonation, discrimination, hate speech, or incitement to violence.

If any content or activity violates these Terms, harms Users, or negatively affects our platform, we may take the following actions without prior notice:

  • Remove the offending content from the platform.
  • Remove Projects created by the User if they violate platform rules.
  • Record, monitor, edit, or disclose content to comply with legal obligations or prevent harm.
  • Refund Pledges if appropriate, while retaining the right to offset any processing fees.
  • Suspend or terminate the User's account, including any associated accounts.
Important Notice

To the fullest extent permitted by law, Kindly Tech LTD is not liable for any loss or inconvenience you may experience due to these actions. Termination applies to all accounts associated with the same User.

User Conduct

When using KindlyFundMe.com, you agree to the following:

Use the platform lawfully:

  • You must use the platform only for its intended purpose: to create, support, or manage crowdfunding Projects in accordance with these Terms.

Respect other Users:

  • Do not harass, threaten, mislead, or otherwise act unlawfully toward other Users.
  • Always obtain consent before using other Users' contact information.

Stop contact when asked:

  • If a User requests that you cease communication, you must comply immediately. Failure to do so may result in suspension or termination.

Prohibited Activities:

In addition to Section 5, you are strictly prohibited from:

  • Spamming or soliciting: Sending unsolicited messages, advertisements, loan offers, investment opportunities, or marketing materials to other Users.
  • Damaging the platform: Introducing viruses, malware, or software that disrupts or harms the operation of KindlyFundMe.
  • Unauthorized access: Accessing restricted areas or data not intended for you.
  • Automated systems: Using bots or other automated systems that overwhelm the platform with requests beyond normal human capacity.
  • Irrelevant content: Posting unrelated advertising, links, or off-topic commentary.
  • Disrupting the community: Behaviour that prevents others from using the platform effectively.
  • Intellectual property infringement: Copying, distributing, or modifying our content or other Users' copyrighted material without permission.
  • Data harvesting: Collecting User information without explicit consent.
  • Misrepresentation: Impersonating other individuals or organisations.
  • Access after suspension: Using the platform after account suspension or termination is strictly forbidden.

  • Project Owners: If you are a Project Owner, you agree that we shall not be liable for:
    • any business-related losses (such as lost profits, contracts, customers, opportunities, goodwill, or reputation),
    • any indirect or consequential losses, or
    • any direct loss exceeding the total amount of fees paid to us in connection with the relevant Project (or £100 if no fees were paid).
Note

This means that if your claim relates to a Project where we earned £50 in fees, our liability cannot exceed £50, regardless of the scale of your losses.

12.4 Indemnity

You agree to use KindlyFundMe.com in compliance with these Terms and all applicable laws. You further agree to indemnify and fully compensate Kindly Tech LTD, its employees, officers, directors, contractors, and partners against any damages, losses, costs, or expenses (including legal fees) arising from:

  • your misuse of the platform,
  • your violation of these Terms,
  • your infringement of another person's rights (including intellectual property rights), or
  • any claim made by a third party due to content you post, upload, or share.
Important Notice

This indemnity extends to actions caused by people accessing your account with your permission or through your negligence.

  • Disputes Between Users: We are not obligated to intervene in disputes between Users (for example, disputes between a Project Owner and a Supporter). Such disputes must be resolved directly between the parties involved. However, we may cooperate with regulators or law enforcement where legally required.

12.6 Other General Terms

  • Copyright and Intellectual Property: We respect intellectual property rights and prohibit Users from uploading or sharing materials that infringe another person's rights. Clear notices of infringement will be acted upon, and repeat infringers may have their accounts suspended or terminated. Copyright issues relating to linked third-party sites should be addressed directly with those operators.
  • Severability: If any clause of these Terms is deemed invalid or unenforceable, the remaining provisions will remain valid and enforceable.
  • Entire Agreement: These Terms constitute the entire agreement between you and Kindly Tech LTD, superseding all previous discussions, communications, or agreements.
  • Events Beyond Our Control: Circumstances such as fire, flood, earthquakes, strikes, shortages of energy or raw materials, government restrictions, pandemics, civil unrest, cyber incidents, and war may prevent us from delivering services.
